PrimeCharts, EasySoft & INDS ( "We" ) provide access to our related Web sites, ( the "Website" ) sell products, and provide services to you subject to the conditions set out on this page. Please read these conditions carefully before using the Web site.

When you place an order to purchase a product or service from us, we will send you an e-mail confirming receipt of your order and containing the details of your order. Your order represents a request to us to purchase a product or service which is accepted by us when we send e-mail confirmation to you. That acceptance will be complete at the time we send the confirmation e-mail to you. It is your responsibility to download the product(s) purchased or to utilise the subscription service. Failure on your part to do this does not cancel the purchase, nor entitle you to a refund (see our Refunds & Returns Policy).

All data items are also subject to the terms and conditions of their various exchanges and/or sources, and you are also bound by such conditions (You may read further details here).  Correct functional on-going use of any of our software can only be supported by us if you have a valid current data download subscription with us.

Redistribution of Data
Irrespective of your using our software and services during the trial period, and/or when you are paying for such, or at any stage thereafter, you may not copy, duplicate, transfer or redistribute in any form the stock exchange data that you may have downloaded to your computer for any purposes whatsoever.

Software Licence

All software remains the property of PrimeCharts Limited at all times and is subject to copyright laws. You may make a copy of the software or data disk(s) for backup purposes only. Copies made or used for any other purposes are prohibited.

Customs and Taxes
When ordering goods and services, dependant on where you reside, you may be subject to import duties and taxes. Any additional charges for such duties and taxes must be borne by you; we have no control over these charges, and cannot predict what they may be. Customs policies vary widely from country to country, so you should contact your local customs and/or tax office for further information. 

Children
We do not make our products and services available for purchase by children. If you are under 18, you may use our Web site only with the involvement of a parent or guardian.

It is possible that as a result of your activity on our Web site, or through the use of our products and/or services, that you encounter links or references to the Web sites of affiliated companies and certain other businesses or organisations. Alteration of Service or Amendments to the Term and Conditions
We reserve the right to make changes to our Web site, policies, and these Terms and Conditions of Use and Sale at any time. You will be subject to the policies and Terms and Conditions of Use and Sale in force at the time that you use the Web site or that you order goods from us, unless any change to those policies or these conditions is required to be made by law or government authority (in which case it will apply to orders previously placed by you). Waiver
If you breach these conditions and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these conditions.

Governing Law and Jurisdiction
These conditions are governed by and construed in accordance with the laws of and applicable to the United Kingdom, its provisions shall prevail over any conflicting provisions of such law, and the application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. You agree, as do we, to submit to the non-exclusive jurisdiction of the courts of the United Kingdom.
